“This text is not merely a collection of journal articles showcasing legal research, but is a well presented coherent analysis of the law of joint ventures in Australia as presented by some eminent academics and leading practitioners. ….(It) should be compulsory acquisition for anyone with an interest in joint ventures.” wrote Gabriella Tomkin in her review from the 1st edition in the Law Institute Journal in 1994. The same thing could be said of the 2nd edition of Joint Ventures Law in Australia. One of the book’s core strengths comes from its variety of authors, each one of them free to express a different, sometimes conflicting opinion. Doing so enhances the text by providing a range of perspectives on joint ventures law and makes it that much more informative for the reader. The new edition contains new and entirely rewritten chapters to accommodate over a decade of changes since the first edition: Chapter 2 on the fiduciary aspects of unincorporated joint ventures has been completely re-written. A new chapter on the common law obligations of good faith in the performance and enforcement of joint ventures has been introduced to take into account recent developments. The financing of joint ventures in the form of Public Private Partnerships have become more common and as a result the chapter on the financing of joint ventures has been extensively rewritten. The chapter originally titled “Negotiating joint ventures” has been recast to emphasis structure and formation and a new chapter has been introduced on the subject of the capacity of local government and government owned corporations to engage in joint ventures. All other chapters in this edition have been extensively revised and updated with new statutory and case material where necessary. Joint Ventures Law in Australia successfully strikes a balance between material upon public and private joint ventures and it will be useful to practitioners and academics researching any aspect of joint venture law.

Academic Paper from the year 2019 in the subject Law - Civil / Private / Trade / Anti Trust Law / Business Law, grade: 75% (B+ equivalent), University of Melbourne (Melbourne Law School), course: Resources Joint Ventures, language: English, abstract: This research paper attempts to unpack and analyse various viewpoints and judicial pronouncements on the issue of a separate legal status for Joint Venture vis-à-vis Partnership in some jurisdictions such as Australia, Canada, England, New Zealand and the United States. The paper will aim to simplify, as much as possible, the meaning and types of Joint Venture and argue in favour of a regulatory statute for Joint Ventures, with special reference to Resources Joint Ventures as obtainable in Australia and New Zealand. In doing so, the paper will set out the contexts and legal parameters that embody the concept of Joint Venture. Joint Venture statutes are gradually becoming necessary bearing in mind the ever-increasing rate of cross-border transactions, as well as international activities towards the harmonisation and codification of legal principles and their applications into a single legal framework, which started before the turn of the twenty-first century and have intensified since then.

With China's rise as a new economic power, the economic and political relationship between Australia and China comes into a new area of development. China's need for capital, raw materials, high technology, and modern management skills has opened a range of opportunities for Australian industry and commerce. However, before making a substantial investment, an Australian investor needs to decide on which business structure is the most suitable for making the investment, a business alliance or a subsidiary. What are the advantages and disadvantages of the different business vehicles? Can the products of the new business be sold in the Chinese domestic market? Can invested capital be repatriated back to Australia? What are the tax implications in both China and Australia of setting up the new business? If a business alliance is established, how does the investor retain control over the new business entity? Does China have a sound political and legal environment which ensures the rights of a foreign investor and provides economic and legal certainty for the foreign investment activities? This book provides the first comprehensive analysis of the above issues. While giving general treatments to all possible investment vehicles, as well as legal and cultural background of China, it focuses the study on the problems facing the establishment of joint ventures between Australian investors and Chinese participants in China. The book will make an excellent contribution to the mutual understanding between Australian and Chinese business people.

Joint ventures have become a common vehicle for companies to create strategic alliances with partners that have complementary capabilities and resources, fostering opportunities to exploit distribution channels, technology, or finance in ways not available to the sole partners. Simply put, in a joint venture, two or more parent companies agree to pool defined capital, technology, human resources, risks, and rewards in the formation of a distinct entity under shared control. The complexities of such an arrangement are magnified when the project embraces more than one jurisdiction. In this special issue of the Comparative Law Yearbook of International Business, practitioners who have specialized in domestic and cross border joint venture formations report on their respective jurisdictions as well as particular cross border issues. The volume provides national reports on Brazil, Bulgaria, Chile, China, Cyprus, the Czech Republic, Greece, India, Italy, Japan, Kuwait, Lebanon, The Philippines, Romania, Trinidad and Tobago, Turkey, and Vietnam. European competition law relative to joint ventures, taxation issues in The Netherlands, and governing law also are treated.
